These Terms of Service ("Terms") govern your use of AlignIQ Platform services provided by AlignIQ Platform Inc. ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. Last updated: January 15, 2026.

Acceptance of Terms

By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

Service Description

AlignIQ Platform provides AI-powered IT asset inventory reconciliation services, including:

Account Registration and Eligibility

To use our services, you must:

  • Be at least 18 years old and have the legal capacity to enter into contracts

  • Maintain and update your account information
  • Be responsible for maintaining the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account

Subscription Plans and Billing

  • Data Deletion: We will delete your data upon account termination as requested

Intellectual Property Rights

The AlignIQ Platform, including all software, content, and materials, is protected by intellectual property laws:

  • Our IP: We retain all rights to our platform, algorithms, and proprietary technology
  • License to You: We grant you a limited, non-exclusive license to use our services
  • Your IP: You retain rights to your Customer Data and any content you create
  • Feedback: Any feedback you provide may be used by us without restriction

Service Availability and Support

We strive to provide reliable service availability and comprehensive support:

  • Uptime Target: 99.9% uptime for our core services
  • Maintenance: Scheduled maintenance will be announced in advance
  • Support Channels: Email, phone, and in-platform support
  • Response Times: Vary by subscription plan and issue severity
  • Service Credits: Available for significant service disruptions

Cancellation and Termination

Either party may terminate this agreement under certain circumstances:

  • Your Right to Cancel: You may cancel your subscription at any time
  • Refund Policy: No refunds for partial billing periods
  • Termination for Cause: We may terminate for violations of these Terms
  • Effect of Termination: Access to services will cease upon termination
  • Data Retention: We will retain your data for 30 days after termination

Limitation of Liability

To the maximum extent permitted by law, our liability is limited as follows:

  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We do not warrant that our services will be error-free or uninterrupted
  • Some jurisdictions do not allow limitation of liability, so these limits may not apply to you

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

Dispute Resolution

Any disputes arising from these Terms will be resolved as follows:

  • Jurisdiction: Courts of Toronto, Ontario have exclusive jurisdiction
  • Arbitration: Certain disputes may be subject to binding arbitration
